LTD., a company incorporated pursuant to the laws of Singapore, bearing Unique Entity Number 201716118Z, with registered office at 135 Cecil Street, #10-01, Philippine Airlines Building, Singapore 069536 ("GOYARD"), provides its website accessible at https://www.goyard.com ("the Website") to you, subject to the following Terms and Conditions and Use (“Terms”).

The purpose of these Terms is to set forth the terms and conditions for your access and use of the Website, its services and content, which may be updated and/or amended from time to time. Please read these Terms carefully before accessing or using any part of the Website.

By accessing or using the Website, you acknowledge that you have read and that you accept these Terms, and undertake to comply with them. If you do not agree to these Terms, you are not authorised to access the Website and should cease using the Website immediately.

Access to the Website is free of charge. You acknowledge that it is your responsibility to make any and all arrangements in order to access and use the Website.

GOYARD will make commercially reasonable effort to ensure, but cannot guarantee: (i) the continued access and functionality of the Website, its content, and services; (ii) that all information provided on the Website are verified and free from errors; (iii) that images on the Website accurately represent actual products or their packaging.

GOYARD reserves the right to temporarily suspend or shut down the Website for maintenance or such other purposes as and when required or necessary. Goyard will make commercially reasonable effort, but cannot guarantee that you will be given prior notification of any scheduled maintenance that may affect your use of the Website or services.

All content and information contained in the Website is intended for general information purposes only and to inform you about GOYARD and its products. It should not be considered complete nor be used in place of any further personalised assistance (or as substation of reliance on any aspect of a physical in-store experience), whether through our in-store sales counters or otherwise, that you may require on such products.

You undertake not to interfere with or interrupt, or attempt to interfere with or interrupt the proper operations of the Website, or any other person’s use of the Website.

You undertake not to engage in any acts that constitute any form of political, advertising or commercial solicitation, including making unsolicited contact with anyone.

You undertake not to collect, use or process any personal data of other users of the Website.

You undertake, when requested, to provide only complete, accurate and up-to-date information about yourself.

The Website allows you to upload content, information and/or other materials for transmission to GOYARD (“Submitted Content”). You represent, warrant, and shall ensure that all of your Submitted Content will at all times:

(i) not be illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable;

(ii) not consist of or contain software viruses, commercial solicitation, chain letters, mass mailings, or any form of "spam"; and

(iii) not contain content or statements contrary to public interest, public morality, public order, public security, national harmony, or otherwise be prohibited by applicable laws or regulations.

By submitting, uploading or contributing Submitted Content to GOYARD, you agree as follows:

(i) GOYARD may handle the Submitted Content solely and exclusively for the purposes of fulfilling GOYARD’s obligations under these Terms, including without limitation the right to store, reproduce, distribute, modify, display, communicate, transmit, such Submitted Content, and to require GOYARD’s affiliates (including vendors) to do the same, in each case also solely and exclusively for the purposes of fulfilling GOYARD’s obligations under these Terms, and for delivering GOYARD’s services.

(ii) you represent and warrant that –
- you have all rights to upload and transmit the Submitted Content to GOYARD without infringing the intellectual property or other rights of any third party;
- none of the Submitted Content will expose GOYARD to any claims or proceedings (civil or criminal) in any part of the world; and
- use of the Submitted Content will not require any further licences or rights from, or infringe any other intellectual property or other rights of any third party.

Although the Website is designed with reasonable resilience and safety measures, you agree and acknowledge that it shall be your sole responsibility, at your own cost, to make back-ups of Submitted Content or other content sent to GOYARD. You further agree that GOYARD shall not be liable for the loss of any Submitted Content.

The Website contains personalisation features which allow you to send messages to yourself. This feature is not to be used to send messages to a third party, including but not limited to a person who does not consent to receive the same. Should we be alerted to such unauthorised use, the access to such services may be blocked or be subject to further restrictions. You warrant that any email address you use for such service is your personal email.

The Website also contains messaging features which allow you to interact or sending messages to our teams, including the provision of e-forms, where you may be prompted to provide information or you may use to send messages. Whilst GOYARD will undertake commercially reasonable efforts to ensure that such messages are safely captured and delivered, we cannot guarantee as such (and exclude liability for the same) and you are encouraged to practice good cyber hygiene and security in using these features.

Goyard offers online personalisation simulation for a selection of products via its marquage configurator, accessible on Goyard.com (Menu -> Personalisation, or click on the dedicated "Online personalisation" link, accessible from the page featuring the items covered by this service). 

Our online marquage configurator strictly offers personalisation simulation. The actual purchase of the personalised product is to be made in-store only.

5.1 Copyright

All content included in, made available or provided through the Website, such as software, texts, animated or non-animated images, photographs, sound, know-how, data compilations, and all other elements making up the Website, are the exclusive property of GOYARD or its content suppliers / licensors, and is protected by copyright laws and treaties around the world.

No part or parts of the Website, including any of the content, may be published, manipulated, distributed or otherwise reproduced in any format, without the express authorisation of GOYARD or that of the relevant copyright owners. You may however, download, store, print, copy or use the content of the Website for personal and non-commercial uses, provided that no modifications are made, and GOYARD or the relevant copyright owners retain all copyright contained in the content.

If you believe any content on the Website infringes your copyright, you may request for removal of those materials by contacting GOYARD at contact-sg@goyard.com, and providing the following information:

• identification of the copyrighted work that you believe to be infringed, including any relevant details and a copy of such work;
• identification of the content on the Website that you believe to be infringing the copyrighted work, including any relevant details and location of such work on the Website (by providing the URL);
• your name, address, telephone number, and email address;
• a statement to the effect that you believe, in good faith, that use of the content complained of is not authorized by the copyright owner or its exclusive licensee;
• your signature or the electronic equivalent from the copyright holder or authorized representative.

5.2 Trade Marks

The registered and unregistered domain names, trade marks, trade names and logos used and displayed on the Website, may not, without the express authorisation of GOYARD, be used in connection with any products or services that is not provided by GOYARD, in any manner that is likely to cause confusion among customers, or that would disparage or discredit the goodwill of GOYARD. All other trade marks not owned by GOYARD on the Website, are the property of their respective owners.

Consequently, you must not use, or engage in any activity that may directly or indirectly infringe GOYARD’s intellectual property rights.

You are responsible for evaluating the information and content obtained through the Website, including any links to other independent third-party websites that are not under GOYARD’s control. You assume total responsibility, and assumes all risks connected to and/or arising out of the use of the Website, its content, and services.

Notwithstanding anything stated in these Terms or any other document relating to your use of this Website, to the fullest extent permitted by law, GOYARD disclaims all warranties, express or implied, including any warranties that: (i) the Website and its content are correct, accurate, reliable or complete; (ii) the Website and its services will be accessible, uninterrupted or error-free at all times; (iii) defects will be corrected; (iv) the Website, including its servers, will be secure and free of viruses or other harmful components; and (v) that the products and services seen on the Website are available in your country or at all, or that the same will correspond to any virtual image, sample, or any description stated (whether text or any other media) in the Website.

Notwithstanding anything stated in these Terms or any other document relating to your use of this Website, , the Website is provided on an “as it” or “as available” basis, without any guarantees, conditions or warranties of any kind.

To the fullest extent permitted by law, GOYARD may only be held liable to you in the event of a proven fault, for direct and foreseeable damages arising out of your use of the Website.

As all of GOYARD’s products are sold exclusively at its sales counters, or through its e-commerce site at https://www.goyard.com/ (“Network”), any purchase made outside the Network is at your sole risk and responsibility.

Subject to any other provision in these Terms, GOYARD will take all reasonable security measures consistent with common industry standards and practices to ensure that the Website and its content are protected from viruses, or other harmful components, but cannot guarantee the effectiveness of such security measures or absolute security.

You accept that Internet communications or transmissions may be susceptible to interference or interception by third-parties.

You agree to inform GOYARD of any breach of security.

You are entirely responsible for protecting your own content, data and/or software from viruses, or other harmful components on the Internet.

You agree to indemnify, defend, and hold harmless, GOYARD, its Network, its subsidiaries and affiliates, and their respective directors, non-executive directors, officers, employees and agents, against any third-party loss, liability, claim, damages, costs and/or or requirement, arising from your use of the Website and its services, or your breach of these Terms.

You agree that GOYARD may, in its sole discretion and without prior notice, terminate, deny, restrict, or suspend your access and use of the Website, its contents and services, if your use of the Website is in breach of these Terms, without prejudice to any other remedies available to GOYARD under these Terms.

These terms of use are governed by and construed in accordance with the laws of Singapore. Both you and GOYARD agree to submit any dispute arising out of or relating to these Terms, including the validity, interpretation, breach or termination thereof, at GOYARD’s option, to:

(i) the non-exclusive jurisdiction of the Singapore Courts; or

(ii) arbitration under the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference herein. The seat of the arbitration shall be Singapore. The tribunal shall consist of 1 arbitrator. The language of the arbitration shall be English.

All dealings, correspondence and contacts between you and GOYARD shall be made or conducted in the English language.
